Functions and Roles of Board of Directors
5.1 Penentuan jumlah anggota Direksi mempertimbangkan kondisi Perseroan serta efektivitas dalam pengambilan keputusan.
5.1 Determination of the number of members of the Board of Directors considers the condition of the Company and effectiveness of decision making.
Sesuai Anggaran Dasar; Perseroan diurus dan dipimpin oleh Direksi yang terdiri dari sedikitnya 3 (tiga) orang anggota Direksi termasuk Presiden Direktur serta Direktur Kepatuhan.
In accordance with the Articles of Association, the company is managed and led by Board of Directors consisting of at least 3 (three) members of the Board of Directors, including President Director and Compliance Director.
5.2 Penentuan komposisi anggota Direksi memperhatikan keberagaman keahlian, pengetahuan, dan pengalaman yang dibutuhkan.
5.2 Determination of composition of members of the Board of Directors takes into account the diversity of skills, knowledge, and experience required.
Komposisi Direksi telah memenuhi kebutuhan Perseroan; masing masing Direksi memiliki pendidikan, pengalaman dan kompetensi yang sesuai dengan kebutuhan Perseroan.
Composition of members of the Board of Directors has met the needs of the Company; each Director has education, experience, and competencies according to the Company's needs.
5.3 Anggota Direksi yang membawahi bidang akuntansi atau keuangan memiliki keahlian dan atau pengetahuan di bidang akuntansi.
5.3 Member of the Board of Directors in charge of accounting or finance possesses expertise and or knowledge in the accounting field.
Perseroan memiliki Direktur yang membidangi akuntansi dan keuangan yang memiliki gelar Megister Manajemen dan juga sebagai wakil ketua dan ketua bidang keuangan, akuntansi & Perpajakan di AAUI.
The Company has a Director in charge of accounting and finance who has a Master’s degree in Management and also serves as Vice Chairman and Chairman of Finance, Accounting & Taxation at AAUI.
6.1 Mempunyai kebijakan penilaian sendiri untuk menilai kinerja Direksi.
6.1 Have self-assessment policy to assess Board of Directors’ performance.
Kebijakan Penilaian Kinerja Direksi tertuang pada Anggaran dasar dan Board Manual.
Board of Directors Performance Evaluation Policy is set out in the Articles of Association and Board Manual.
