Tata Kelola Perusahaan Good Corporate Governance Kode Etik dan Pedoman Perilaku Code of Ethics and Code of Conducts Perseroan menyadari arti pentingnya implementasi Good Corporate Governance (GCG) sebagai salah satu alat untuk meningkatkan nilai dan pertumbuhan bisnis jangka panjang secara berkesinambungan tidak hanya bagi Pemegang Saham (Shareholders) namun juga segenap pemangku kepentingan (Stakeholders) lainnya dalam arti pengelolaan bisnis yang bukan hanya mengejar keuntungan semata namun juga pengelolaan yang penuh amanah, transparan dan akuntabel. Kepercayaan pemangku kepentingan seperti Insan Perseroan, Masyarakat Umum, Nasabah, Pemasok, Kontraktor, Mitra Kerja, Mitra Usaha dan pemangku kepentingan lainnya merupakan faktor yang sangat menentukan bagi perkembangan dan kelangsungan usaha Perseroan. Kredibilitas Perseroan dan kepercayaan pemangku kepentingan sangat erat kaitannya dengan perilaku Perseroan dalam berinteraksi dengan para pemangku kepentingan. Pengelolaan Perseroan selain harus mengikuti peraturan dan perundangan yang berlaku juga harus menjunjung tinggi norma dan nilai etika. Kesadaran untuk menjalankan etika yang baik akan meningkatkan dan memperkuat reputasi Perseroan. Atas dasar pemikiran ini maka Perseroan telah menyusun Kode Etik dan Pedoman Perilaku untuk lebih menyesuaikan terhadap perkembangan dunia bisnis dan ketentuan yang berlaku. Kode Etik dan Pedoman Perilaku ini mengatur kebijakan nilai-nilai etis yang dinyatakan secara eksplisit sebagai suatu standar etika dan perilaku yang harus dipatuhi oleh seluruh Insan Perseroan. Pernyataan Bahwa Kode Etik Berlaku Bagi Anggota Direksi, Anggota Dewan Komisaris dan Pegawai Kode Etik dan Pedoman Perilaku ini berlaku bagi seluruh Insan Bintang, mulai dari Dewan Komisaris, Direksi, Pejabat Struktural dan Fungsional serta seluruh pegawai. Seluruh Insan Bintang diwajibkan untuk membaca dan mematuhi Pedoman Perilaku ini. Selain itu, pihak lain yang menjalankan jasa bagi Perseroan harus tunduk pada Kode Etik ini berdasarkan kontrak atau perjanjian lainnya. The Company realizes the importance of the implementation of Good Corporate Governance (GCG) as one of the tools to sustainably increase the value and long-term business growth, not only for Shareholders but also for all other stakeholders. This means that business management is done not merely to seek for profit, but also to pursue trustworthiness, transparency, and accountability. The trust of stakeholders such as Company Individuals, the Society, Customers, Suppliers, Contractors, Working Partners, Business Partners, and other stakeholders is critical to the development and sustainability of the Company’s business. The Company’s credibility and stakeholders’ trust are closely related to the Company’s behavior in any interaction with the stakeholders. The management of the Company not only shall be in line with the prevailing laws and regulations, but also uphold norms and ethical values. The awareness of carrying out good ethics will enhance and strengthen the Company’s reputation. With this in mind, the Company has prepared Code of Ethics and Code of Conduct to better adapt to the development of the business world and the applicable regulations. This Code of Ethics and Code of Conduct governs the policy of ethical values that are explicitly stated as an ethical standard and behavior that must be adhered to and applicable to all Company Individuals. Statement on the Code of Ethics Being Applicable to Member of Board of Directors, Members of Board of Commissioners, and Employees This Code of Ethics and Code of Conduct applies to allBintangPeople,fromtheBoardofCommissioners, Board of Directors, Structural and Functional Officials, and all employees. The Board of Commissioners, Board of Directors, Structural and Functional Officials, and all employees are required to read and comply with this Code of Conduct.
